Appointment Letter Format
Appointment letter format for Indian employers — the clauses that must be in it, how it differs from an offer letter, and a full sample.
This is the contract, and almost nobody reads it
The offer letter gets read line by line because it has the salary in it. The appointment letter arrives on joining day, in a folder with six other forms, and gets signed in the time it takes to find a pen. That is the document that actually governs your employment: probation, confirmation, notice period, confidentiality, intellectual property, transfer, termination, and whatever clawbacks apply.
Everything you will later argue about is in here. How long your notice period is after confirmation. Whether the company can transfer you to another city. Whether the code you write on a weekend belongs to them. What happens to your joining bonus if you leave in month ten. Whether the notice period is different during probation — it usually is, and usually shorter, which cuts both ways.
Read it on joining day, ask about anything that surprises you that same week, and keep the signed PDF somewhere you will find it in three years. The single most common regret is discovering a 90-day notice period at the moment you are trying to accept a new offer with a 30-day joining date.
The clauses that matter most in Indian appointment letters
Probation and confirmation. Typically three to six months, extendable. Note whether confirmation is automatic on completing the period or requires a written confirmation letter — where it requires one and nobody issues it, people spend years technically on probation, with the shorter notice period and weaker protections that come with it. Ask for the confirmation letter when the period ends.
Notice period, stated separately for probation and post-confirmation. Also read whether the company reserves the right to waive it, whether you can buy it out, and how the buyout is computed — gross or basic makes a large difference.
Termination. Look for how much notice the company must give you, and whether there is a payment-in-lieu clause. An asymmetric clause where you owe 90 days and they owe 30 is common and is worth knowing about before you sign, not after.
Confidentiality, IP assignment and non-solicitation. These are standard and mostly reasonable. Non-compete clauses also appear routinely in Indian appointment letters; post-employment non-competes are generally not enforceable in India under section 27 of the Indian Contract Act, but the clause still creates friction, and this is a place to take actual legal advice rather than internet advice if the role is senior.
Bonds and training-cost recovery. Common in services companies and for candidates sent for training. Read the amount, the duration and exactly what triggers recovery. Bonds requiring a document deposit — original certificates handed to the employer — are a practice you should push back on before joining, not after.
For employers: what a defensible appointment letter includes
Company letterhead, reference number, date, and the employee's full name and address. Designation, department, place of posting, reporting authority. Date of joining. Compensation with the full structure in an annexure rather than a single CTC number, because a CTC-only letter is the source of most salary disputes.
Then the operative clauses: probation and how confirmation happens, working hours and leave policy by reference to the current handbook, notice period on both sides, termination, confidentiality, IP, code of conduct, and the governing jurisdiction. Statutory items — PF, ESI where applicable, gratuity, professional tax — should be identified as such rather than buried in CTC without explanation.
Two practices worth adopting. Issue it on or before joining day rather than 'sometime in the first month', because an employee working without a written contract is a compliance gap you own. And route it through one signing authority with a reference series, so the company can always confirm what it actually issued.
Appointment letter vs offer letter vs joining letter
Offer letter comes first and proposes: role, CTC, joining date, conditions. It is usually short and usually conditional on background verification.
Appointment letter is the contract. It is issued on or near joining, is longer, and contains every operative term of the employment relationship. If your offer letter says 'detailed terms will be set out in your appointment letter', this is the document it is pointing at.
Joining letter, in Indian usage, either tells you when and where to report or is your own report confirming you assumed charge on a given date. It is the thinnest of the three legally and often the most important administratively, particularly in government and school service where seniority runs from it.
Keep all three, per employer, forever. Between them they answer nearly every question that background verification, a future appraisal, or your own resignation will raise.

Employers: fill and issue on letterhead. Employees: use it as a checklist — if a numbered clause below is missing from yours, ask why before you sign.

Step-by-step
- 1.Read it the day it arrivesNot the week after. Questions asked on joining day are routine; the same questions asked in month three read as a dispute.
- 2.Find the probation and confirmation clauseLength, extendability, and whether confirmation is automatic or needs a written letter. Diarise the end date.
- 3.Find both notice periodsDuring probation and after confirmation, for both sides. Check the buyout basis — gross or basic.
- 4.Read the bond and clawback clausesAmount, duration, trigger. Decline any requirement to deposit original certificates.
- 5.Check the compensation annexure existsA CTC number with no structure behind it is the root of most later salary arguments. Ask for the breakup in writing.
- 6.Sign, keep the PDF, and diarise confirmationStore it with your offer letter and joining report. Set a reminder for the end of probation to request your confirmation letter.
FAQ
The offer letter proposes role, CTC and joining date and is usually conditional. The appointment letter is the actual employment contract — probation, notice period, confidentiality, IP, termination and jurisdiction. Read the second more carefully than the first.
A written record of employment terms is expected practice and several state shops-and-establishments rules require it. More practically, an employee working without written terms is a compliance gap for the employer and an evidentiary gap for the employee. Ask for it if it has not arrived.
Post-employment non-competes are generally not enforceable under section 27 of the Indian Contract Act, though confidentiality and non-solicitation clauses are treated differently. The clause still creates friction and cost, so for a senior role take actual legal advice rather than relying on a general answer.
Read the amount, the lock-in duration and the exact trigger. Reasonable recovery of documented training costs is enforceable in principle; open-ended penalties are weaker. Decline any requirement to deposit original certificates, and negotiate that before joining rather than after.
Ask in writing, that week. Where confirmation requires a written letter, its absence can leave you technically on probation with a shorter notice period and weaker protection. It is almost always an administrative oversight and almost always fixed by asking.
Letterhead and reference number, designation, department, place of posting, reporting authority, joining date, a full compensation annexure rather than a CTC figure, probation and confirmation, notice period both ways, termination, confidentiality, IP, statutory deductions and jurisdiction.
