Offer Letter Format
Job offer letter format for Indian companies, plus how to read one before signing and how to reply accepting or declining.
An offer letter is not an appointment letter
In Indian hiring these arrive in that order and do different jobs. The offer letter proposes: role, compensation, joining date, and the conditions the offer depends on. The appointment letter, issued on or near your joining day, is the actual employment contract — notice period, probation, confidentiality, termination, leave policy. People sign the first with excitement and the second without reading it, which is backwards.
Both are letters your future self will need. Keep the signed PDFs of each, because they are the only place your agreed CTC breakup and notice period exist in writing, and both come up again — at your next appraisal, at your next resignation, and at background verification.
An offer letter is also revocable in a way people underestimate. Indian offers routinely carry a background-verification condition, and offers do get withdrawn on a date mismatch or a name mismatch in a previous employer's record. Get your own documents consistent before you resign from your current job, not after.
How to read the CTC breakup before you celebrate
Indian offers are quoted as CTC, and CTC is not what reaches your bank account. Work down the structure: basic, HRA, special allowance, and any fixed allowances are the gross. From gross, PF (employee share), professional tax and TDS come out to give you net. Then, added into CTC but never into your salary, sit the employer PF contribution, gratuity provision, and sometimes the notional value of insurance — real benefits, but not spendable monthly.
The variable component is where offers differ most and get compared least carefully. Ask three questions: what percentage of CTC is variable, what triggers a full payout, and what was the actual average payout last year. An offer with 20% variable at a company that paid 60% of target last year is materially smaller than a lower CTC that is all fixed.
Two more things worth asking before you sign. Joining bonus, if any, usually carries a clawback if you leave inside 12 months — ask for the exact clause. And retention bonuses paid at 12 or 24 months are effectively deferred compensation, so treat them as such when comparing offers rather than adding them to year-one income.
The conditions that decide whether the offer holds
Almost every Indian offer is conditional on background verification, submission of documents, and sometimes a medical check. Read the list of documents on day one, not on joining week: usually offer and relieving letters from previous employers, experience certificates, last three payslips, Form 16, education certificates, and ID proof.
Dates are the usual failure. Your resume says 'Mar 2021 – Aug 2023', your relieving letter says '15/03/2021 to 04/08/2023' — that is fine. Your resume says 2021 and the letter says 2022 — that is an offer withdrawal in a strict process. Reconcile everything against the actual documents before you accept.
The other common condition is the joining date. If you need longer because your notice is 90 days, say so before accepting, not after. Companies flex on this far more readily during negotiation than after they have planned around your start.
Replying: accepting, negotiating, or declining
Accept in writing, in the same email thread, restating the four facts that matter: designation, CTC, joining date and location. This turns a conversation into a record. 'I am pleased to accept the offer for [role] at a CTC of ₹[x] per annum, with a joining date of [date] at [location]' is the whole email.
Negotiate before accepting, once, with a number and a reason. Indian offer negotiation is normal and expected; a single well-framed ask lands better than a drawn-out back-and-forth. If the fixed component cannot move, ask about joining bonus, a review at six months, or the variable target instead.
Decline politely and briefly, and do it as soon as you know. No reason required, no burnt bridge — recruiters remember candidates who declined cleanly and come back with something better a year later. Silence, by contrast, is the thing that actually ends the relationship.
The offer letter, and the acceptance email
First is what an Indian employer typically issues. Second is the reply you send — short, and restating the terms so they are on record.

Step-by-step
- 1.Read the conditions before the numberBackground verification, document list, joining date, offer validity. These decide whether the number ever reaches you.
- 2.Break the CTC into fixed, variable and non-cashFixed is what you can plan on. Ask for last year's actual variable payout percentage. Employer PF and gratuity are real but not monthly.
- 3.Reconcile your own documentsEvery date and name spelling on your resume must match your relieving letters, payslips and Form 16 before you accept.
- 4.Negotiate once, with a number and a reasonIf fixed pay cannot move, ask about joining bonus, a six-month review or the variable target instead.
- 5.Accept in writing in the same threadRestate designation, CTC, joining date and location. Attach the signed letter.
- 6.Only then resignSigned offer in hand, conditions understood, documents reconciled. Not before.
- 7.Read the appointment letter properly on joining dayThat is the contract. Notice period, probation, confidentiality, termination, clawbacks.
FAQ
The offer letter proposes the role, compensation and joining date and lists the conditions. The appointment letter, issued on or around joining, is the actual employment contract with notice period, probation, confidentiality and termination terms. Keep both.
Short and in the same thread: thank them, state that you accept the position, and restate designation, CTC, joining date and location. Attach the signed letter. That email is your record if terms are later disputed.
Yes, particularly where the offer is conditional on background verification or document submission — and date or name mismatches against previous employers' records are the most common trigger. Reconcile your documents before you resign from your current job.
Start from CTC, remove employer PF, gratuity provision and any insurance value to get gross. From gross, remove employee PF, professional tax and TDS. What remains is roughly your monthly in-hand. Variable pay is not monthly and should be modelled separately at its realistic payout rate.
No — it is expected. Negotiate once, before accepting, with a specific number and a reason. If fixed pay is locked, ask about joining bonus, an early review, or the variable target instead.
As soon as you know, in two or three sentences, without a detailed reason. Recruiters remember clean declines and come back later; they remember silence differently.
